GENERAL TERMS OF SALE AND USE OF THE BIBLIODYSSEE PLATFORM

These general terms of use (hereinafter the “Terms”) are intended to provide the legal framework for the provision of the digital platform called BIBLIODYSSEE, published by MOBIDYS CANADA (94703303 Quebec Inc.), and to define the conditions of access to and use of BIBLIODYSSEE by Users.

For readability and accessibility, the masculine form is used generically and includes all genders.

These Terms are accessible on the website under the section “Terms of Use”.

Signing a purchase order constitutes express and unconditional acceptance of these Terms.

If the User does not accept these Terms, they must refrain from accessing the services offered by the platform.

MOBIDYS CANADA reserves the right to unilaterally and at any time modify the content of these Terms; Users are therefore invited to consult them regularly.

2 – Definitions

Subscriber: any library or media library, public or private, associative or not, able to welcome the public with reading difficulties, notably due to cognitive disorders (dyslexia, dysphasia, dyspraxia).

Administrators: employees or service providers of the Subscriber authorized by it to access the Platform.

Books: audio books and FROG format books included in the selections ordered by the Subscriber.

Platform: the digital platform called BIBLIODYSSEE, allowing Users to access the Books via a web interface and a mobile application for iOS and Android devices.

Users: Users and employees of the Subscriber authorized by it to access the Platform to consult the Books, including members of the Subscriber’s services.


3 – Description of Services

MOBIDYS CANADA provides a digital platform called BIBLIODYSSEE for municipal libraries (BM) of all types (communal, intercommunal, networked, regional, etc.), departmental libraries (BDP), and private or associative libraries (outside the school and educational sector), welcoming Users with reading difficulties or learning disorders (dyslexia, dysphasia, dyspraxia, etc.). The platform provides access to a collection of digital books in the FROG format (“Free your Cognition”), designed for cognitive accessibility.

BIBLIODYSSEE is accessible to the Subscriber via a web interface and/or mobile application for iOS and Android, enabling Users to consult the Books in exchange for payment of an annual platform subscription fee.


4 – Access to the Platform

MOBIDYS CANADA offers the Subscriber:

  1. A local selection of 40 books (BIBLIODYSSEE Local) for reading on PCs or iOS/Android tablets of the Subscriber, on-site or for lending.

  2. An online selection of 115 books (BIBLIODYSSEE Online) for remote reading via web interface, in streaming or offline mode via the mobile applications.

For each local selection ordered, the Subscriber receives login credentials for 1 to 5 distinct devices (PC, iOS or Android tablet), accessible via the Subscriber’s account. Each login is valid for a single Subscriber account only.

Upon order confirmation, MOBIDYS CANADA estimates a delivery time to provide the Platform to the Subscriber’s Administrators and Users and make the Books available.

Local access: The Subscriber logs in via the web application “BiBliOdyssée” on a desktop or installs the dedicated “BiBliOdyssée” app on mobile devices and opens a session using credentials provided by MOBIDYS CANADA. Books can be downloaded for offline reading.

Online access: Integration of the resource can be carried out via a connector to the Subscriber’s Integrated Library System (ILS), allowing single sign-on (SSO) and, optionally, federated search services.

The Subscriber may not grant direct or indirect access to BIBLIODYSSEE to educational institutions without a specific contract with MOBIDYS CANADA or its subsidiaries.

All access and use of the Platform are subject to the rights granted by MOBIDYS CANADA. The Subscriber is responsible for all acts performed with Administrator and User credentials and releases MOBIDYS CANADA from any liability. The Subscriber must immediately notify MOBIDYS CANADA of any unauthorized access.


5 – Platform Availability and Corrective Maintenance

MOBIDYS CANADA commits to a satisfactory level of platform availability.

Subscribers can report malfunctions via email to support.bibliodyssee@mobidys.fr, providing a detailed description, date, time, and reproducibility.

MOBIDYS CANADA will address all reports during business hours and use reasonable efforts to resolve documented malfunctions, either through workarounds or corrective updates.

If an ILS connector is developed, an operational maintenance contract will be attached, covering necessary adjustments due to changes by the Subscriber. Maintenance costs are included in the subscription.


6 – Platform Administration and Maintenance

MOBIDYS CANADA manages preventive, corrective, and evolutionary maintenance of the Platform, excluding Subscriber-reported malfunctions. It may temporarily suspend access for maintenance, minimizing disruption, and notifying the Subscriber when possible.


7 – Subscription Duration

Subscriptions are for a minimum of one (1) year, automatically renewable. The Subscriber may terminate by notifying MOBIDYS CANADA at least one (1) month prior to expiry via email to support.bibliodyssee@mobidys.fr.


8 – Financial Conditions

Access is granted upon payment of the annual subscription fee specified in the accepted commercial offer. Fees are exclusive of taxes, which are added at invoicing.

Invoices are payable upon receipt unless otherwise stated. Early termination does not waive fees. Late payments incur interest at 6 times the legal interest rate and may result in immediate invoice payment and platform suspension. An additional flat recovery fee of €40 applies. Disputes must be notified within 15 calendar days.


9 – Intellectual Property

Ownership: MOBIDYS CANADA and its licensors own all IP rights on the FROG format, the Platform, and its components (software, texts, illustrations, logos, trademarks), except for the Books.

Books remain the property of their original publishers. Access does not transfer IP rights; the Subscriber is granted only a limited right to use.

Usage Rights: MOBIDYS CANADA grants the Subscriber a non-exclusive, non-transferable right to access and consult the Books via electronic networks during the subscription period and worldwide, limited to authorized Users. Any other use is prohibited, including:

  • Non-conforming use;

  • Transfer or sharing of access rights;

  • Interference with Platform corrections;

  • Reverse engineering or decompilation.


10 – Warranties

MOBIDYS CANADA guarantees rights to distribute and adapt Books in digital, audio, and FROG formats. If a title is no longer available, it will be replaced.

In case of third-party claims of IP infringement, the Subscriber must notify MOBIDYS CANADA immediately and cooperate. MOBIDYS CANADA will assume costs and responsibility for defense.

Peaceful enjoyment guarantees apply only if the Subscriber uses the Platform and Books according to the Terms.


11 – Personal Data

MOBIDYS CANADA processes personal data to manage Platform access, subscription, billing, and customer relations. Data is shared with relevant staff, group companies (ILT Education), and contractors as necessary.

Data includes email (login), name, first name, and affiliated media library. Data retention: Administrators’ data for subscription duration, others for 3 years after subscription, then archived as required by law. Data is stored on EU-based servers.

Users may exercise rights to access, correct, delete, limit, or transfer data, or provide posthumous instructions. Requests must be sent to support.bibliodyssee@mobidys.fr with proof of identity.

MOBIDYS CANADA may suspend service or terminate subscriptions if required data is unavailable due to rights exercised. Users may file complaints with CNIL or other authorities.


12 – Confidentiality

The Subscriber must keep MOBIDYS CANADA’s confidential information strictly confidential for subscription purposes only, including cognitive accessibility know-how, FROG functionalities, and related expertise.

Exemptions: pre-existing knowledge, lawful third-party disclosure, public domain, or legal/judicial obligation.

Obligation applies during the subscription and 10 years after expiration or termination.


13 – Liability

The Subscriber acknowledges its role as a library/media library serving Users with reading difficulties (dyslexia, dysphasia, dyspraxia).

The Subscriber is solely responsible for misuse or non-compliant use of the Platform and indemnifies MOBIDYS CANADA against all claims.

MOBIDYS CANADA is liable only for direct damages caused by proven breaches of essential contractual obligations, limited to the subscription fee for the calendar year in which the damage occurred. Liability claims must be made within 1 year of the event or subscription termination.


14 – Applicable Law and Disputes

Any translation of these Terms is provided for convenience only. In case of conflict, the French version prevails. French law applies. The Commercial Court of Nantes has exclusive jurisdiction, even for summary proceedings or multiple defendants.
